64 things to include in your Data Room
Pitching to investors is just the beginning. After a successful pitch, the real challenge begins: proving your professionalism by providing potential investors with thorough documentation.
This is where the investor data room comes into play. It's the digital repository of all the crucial information investors need for due diligence.
Importance of a Data Room
Due diligence is a critical phase where investors scrutinise a startup to evaluate its investment potential. A well-organised data room expedites this process by providing a complete, data-informed picture of your startup’s assets, liabilities, and performance. This transparency helps investors assess risks and make informed decisions.
Advantages of a Data Room
- Facilitates Due Diligence: A virtual data room showcases your startup’s strengths, presenting a compelling narrative of your business, which is essential for due diligence.
- Accelerates Fundraising: By providing easy access to historical documents and other relevant information, a data room can speed up the fundraising process, allowing investors to make quicker decisions.
- Organisational Benefits: Preparing a data room helps startups view their business through an investor’s lens and document critical aspects like product development and customer acquisition strategies.
Setting Up Your Data Room
- There are heaps to choose from, eg: SecureDocs, FirmexDocSend and Ansarada (Aussie) which have good access controls. If you are pitching to an Australian angel group that uses Gust.com to manage their dealflow, make it easy for them and house your DD documents in that platform for them. Otherwise you can just use your Google Drive or Dropbox. Just make sure you’ve checked all the settings and are comfortable with security.
- Establish a clear, navigable folder structure
- Ensure read-only access to protect sensitive data
- Consider individual access for each investor for a personalised approach. You should configure access rights appropriately to maintain security and relevance of the information shared.
- Regularly update contents to keep information current and relevant.
Why Two Data Rooms May Be Beneficial
- The first room for initial interest, containing strategy documents and pitch decks.
- The second for serious investors, with sensitive information like legal and HR documents. Perhaps only accessible after a Confidentiality Agreement is signed.
An indexed structure in each room aids in quick document location, enhancing organisation and efficiency.
